PROPOSED NEWARK AAUP-UMDNJ BY LAW CHANGES

 

The following is a summary of the proposed Newark AAUP-UMDNJ By-Law changes recently approved by the Newark Board of Governors for your review along with the full text of the By-Laws. The vote on the proposed changes will be held at the June 30, 2008 Annual Meeting.

 

  1. Proposed Change: Clarification of Chapter Objectives

 

  1. Determination of Dues for Special Members

 

Current: No Language on who determines Special Members dues.

 

Proposed Change: Determination of dues for Special Members shall be determined by a majority vote of the Board of Governors.

  1. Clarification of BOG Officer Term of Office:

Current:  Term of Office is from September 15 to September 14 of following          year.

Proposed Change: Generally, the term of office for BOG Officers shall be from September 15 to September 14. To the extent the term does not start on September 15, the incumbentÕs term will be extended until the counting and verification of election results. 

Rationale: To ensure that BOG Officers start their terms upon the counting and verification of election results.

  1. President Term Limit

Current:  The President may serve for more than 2 consecutive terms only if they are granted a waiver by the Nominating Committee and re-nominated by the BOG. There are no limits on the number of waivers or re-nominations. 

Proposed Change: The President may serve for more than 2 consecutive terms only if the Nominating Committee grants them a waiver.  There is a limit of one re-nomination by the BOG.

Rationale: To ensure that a President does not serve more than 3 consecutive terms. 

  1. Expiration of Board of Governor Terms

Current: 50% of all BOG positions will expire every year.

Proposed Change: To the extent possible, 50% of all BOG positions will expire each year.

Rationale:  50% of all BOG positions do not expire every year.  Each BOG member is elected to a 2-year term.

  1. BOG Meetings

Current: No time requirement as to when the President must call the first BOG meeting.

Proposed:  The President must call a BOG meeting within their first month in office.

  1. Delaying or Expediting Elections

Current: No Language to Address Special Circumstances under which elections may need to be expedited or delayed.

Proposed: The Board of Governors may delay or expedite an election under special circumstances by a 2/3rd vote.

  1. Determination of Election Results

Current: Election results are determined by majority vote. Requires a run-off election amongst the two highest vote getters if a candidate does not have a majority.

Proposed Change: Election results are determined on the basis of the largest number of votes.  Should there be a tie for a Chapter Officer, the BOG will select the Chapter Officer by a majority vote.

  1. Chapter Meetings

Current: The BOG will hold 2 Chapter Meetings: one in the fall and one in the spring.

Proposed Change: The BOG will hold one annual meeting.
